Terms of Service

These Terms of Service (“Terms”) govern your use of the Verdant mobile application and related services (collectively, the “Service”) provided by Luso Quantum Ltd, a company registered in England & Wales (company number 17249064) (“Verdant”, “we”, “us”, or “our”). Our registered office is at 128 City Road, London, EC1V 2NX, United Kingdom. By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

2. Subscriptions & Payments

Verdant offers an optional premium subscription that unlocks additional features. Subscriptions are sold as monthly and annual auto-renewing plans. Current pricing is shown in the app at the point of purchase.

All purchases are processed by the Apple App Store or Google Play Store, depending on the platform you use. Payment is charged to your App Store or Google Play account at confirmation of purchase. We do not collect or process your payment details directly.

Auto-renewal. Monthly and annual subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period, at the rate of your selected plan.

Managing and cancelling. You can manage or cancel your subscription at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period, and you retain premium access until then. Subscriptions cannot be cancelled by contacting Verdant directly — cancellation must be done through the relevant store.

Free trials. If a free trial is offered, any unused portion of the trial period is forfeited when you purchase a subscription. The trial will automatically convert to a paid subscription unless cancelled at least 24 hours before the trial ends.

Refunds. Except where required by law, payments are non-refundable. Refund requests are handled in accordance with the policies of the Apple App Store or Google Play Store, and we have no ability to issue refunds for purchases made through those stores.

Price changes. We may change subscription prices from time to time. Any price change will apply to billing periods after the change and, where required, will be notified to you in advance with an opportunity to cancel.

3. Licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial use. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Service except as permitted by law.

4. User Content & Acceptable Use

Verdant allows you to upload photographs solely for the purpose of documenting your plants and their care. By uploading any image to Verdant, you confirm that the image depicts plants, plant-related subjects, or other content directly relevant to plant care.

The following content is strictly prohibited and constitutes a material breach of these Terms:

• Sexually explicit or obscene images, including nudity or pornographic material of any kind (commonly referred to as “indecent images”).
• Content that sexualises, exploits, or endangers minors in any way. Uploading such material may constitute a criminal offence and will be reported to the relevant authorities.
• Violent, graphic, or otherwise harmful imagery not related to plant care.
• Images you do not have the right to upload (e.g. images owned by or depicting third parties without their consent).

Verdant reserves the right to remove any content that violates these Terms without notice, and to suspend or permanently terminate the accounts of users who upload prohibited content. We may also report illegal content to law enforcement authorities.

5. Intellectual Property

The Service, including its design, text, graphics, logos, and software, is owned by Verdant and protected by intellectual property laws. You retain ownership of the content you upload, and you grant us a limited licence to store, process, and display that content solely to provide the Service to you.

6. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. Plant care guidance and reminders are provided for general informational purposes only and are not a substitute for professional horticultural advice. We do not warrant that the Service will be uninterrupted, error-free, or that any plant will thrive.

7. Limitation of Liability

To the maximum extent permitted by law, Verdant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or plants, arising out of or related to your use of the Service. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

8. Termination & Service Discontinuation

Termination of your account. We may suspend or terminate your access to the Service at any time if you breach these Terms, including by uploading prohibited content under Section 4. You may stop using the Service and delete your account at any time from within the app. Upon account deletion, your plant data and care history will be permanently removed from our systems.

Discontinuation of the Service.We reserve the right to modify, suspend, or permanently discontinue the Service (or any part of it) at any time. Where reasonably practicable, we will provide at least 60 days’ notice before a permanent shutdown, by notifying you via the app or the email address associated with your account.

Effect on subscriptions.If we permanently discontinue the Service, active paid subscriptions will not be renewed beyond the date of discontinuation. Because all billing is handled by the Apple App Store or Google Play Store, any entitlement to a refund for the unused portion of your current billing period is governed by the relevant store’s refund policy. We have no ability to issue refunds for purchases made through those stores.

Data export. Where possible, we will give you the opportunity to export your data before the Service is discontinued. You can export your plant data and care history at any time from Settings in the app.

Provisions that by their nature should survive termination or discontinuation will survive, including Sections 4, 5, 7, and 10.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by other reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of England & Wales, without regard to its conflict-of-laws principles. This does not affect any mandatory consumer protection rights you have under the laws of your country of residence.
